These Terms and Conditions of Use (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and LaCharme LLC, a Florida limited liability company doing business as Health & Billing (“H&B,” “Company,” “we,” “us,” or “our”), governing your access to and use of:

BY ACCESSING OR USING THE WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS.

1. NATURE OF THE WEBSITE AND SERVICES

1.1 The Website is provided solely for informational, commercial, and engagement purposes in connection with the Company’s services, including medical billing, coding, revenue cycle management, credentialing, and related administrative support functions.

1.2 The Website does not constitute, and shall not be construed as, a system for the delivery of operational services or the exchange of regulated data.

1.3 All services described on the Website are provided exclusively pursuant to separate written agreements entered into between the Company and its Clients.

1.4 Nothing contained on the Website shall be deemed to create any binding obligation, representation, or guarantee of service performance.

2. USER ELIGIBILITY AND AUTHORITY

You represent and warrant that you are at least eighteen (18) years of age and possess the legal authority to enter into this agreement, including on behalf of any entity you represent.

3. NO MEDICAL, CLINICAL, OR PROFESSIONAL ADVICE

3.1 The Company provides administrative and operational services only and does not provide medical, clinical, or treatment-related services.

3.2 The Website does not constitute medical, financial, or regulatory advice.

3.3 No provider–patient, fiduciary, or advisory relationship is created through use of the Website.

4. HIPAA AND PROTECTED HEALTH INFORMATION (PHI)

4.1 The Website is not designed or intended to collect, receive, store, transmit, or process Protected Health Information (“PHI”).

4.2 Users are strictly prohibited from submitting Protected Health Information (“PHI”) or any patient-identifiable or regulated healthcare data through the Website, including but not limited to medical records, billing data, insurance information, claim details, or any information relating to an individual’s past, present, or future physical or mental health condition, treatment, or payment for healthcare services.

4.2.1 The Website is not a secure communication channel and is not configured to receive or safeguard PHI.

4.2.2 Any submission of PHI through Website forms, email links, or other publicly accessible channels is made solely at the User’s own risk.

4.3 The Company may act as a Business Associate under HIPAA only pursuant to a valid Business Associate Agreement (“BAA”) executed with a Client.

4.4 Any processing of PHI shall occur exclusively outside the Website environment within secured systems governed by applicable contractual, technical, and regulatory safeguards.

4.4A Submission of PHI, where required for service delivery, shall occur exclusively through secure, access-controlled systems designated by the Company and governed by applicable contractual agreements, including Business Associate Agreements (“BAAs”).

4.4B The Company shall have no obligation to process, secure, or respond to PHI submitted outside such authorized channels.

4.5 The Company shall bear no responsibility or liability for PHI submitted through the Website in violation of these Terms.

5. CLIENT RELATIONSHIP AND SERVICE LIMITATIONS

5.1 Information presented on the Website is for general informational purposes only and shall not constitute an offer, solicitation, or guarantee of services.

5.2 Engagement of the Company’s services requires the execution of formal agreements defining scope, pricing, responsibilities, and compliance obligations.

5.3 The Company expressly disclaims any guarantee regarding:

  • reimbursement levels or outcomes
  • claim acceptance or denial rates
  • revenue performance or financial results
  • regulatory compliance outcomes

6. USER SUBMISSIONS AND LICENSE

6.1 Any information submitted through the Website shall be deemed non-confidential and provided at the User’s own risk.

6.2 By submitting information, you grant the Company a non-exclusive, worldwide, royalty-free right to use such information for the purpose of responding to inquiries, providing services, and operating the Website.

6.3 Users shall not submit:

  • PHI or regulated healthcare data
  • confidential third-party information
  • data in violation of applicable laws

6.4 Users acknowledge that all Website forms, inquiry fields, and communication channels are intended solely for general business communication and are not suitable for the transmission of regulated or sensitive healthcare data, including PHI.

6.5 The Company shall not be responsible for monitoring, filtering, or securing information submitted through such channels beyond commercially reasonable measures.

7. ACCEPTABLE USE

Users agree not to:

  • (a) use the Website in violation of applicable laws or regulations;
  • (b) submit prohibited or regulated data, including PHI;
  • (c) attempt unauthorized access to systems or infrastructure;
  • (d) interfere with Website functionality or security;
  • (e) introduce malicious code or harmful data;
  • (f) misuse communication channels or submission forms.

8. INTELLECTUAL PROPERTY

All content, systems, processes, methodologies, and materials on the Website are the exclusive property of the Company and are protected by applicable intellectual property laws.

Unauthorized use, reproduction, or distribution is strictly prohibited.

9. THIRD-PARTY SERVICES AND DEPENDENCIES

The Website may rely on third-party systems, infrastructure, and integrations.

The Company disclaims liability for any disruption, failure, or limitation arising from such third-party services.

11. DISCLAIMER OF WARRANTIES

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, business, or data.

In no event shall the Company’s total liability exceed USD $100.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company from any claims, damages, or liabilities arising from your use of the Website, violation of these Terms, or submission of prohibited data.

14. TERMINATION

The Company reserves the right to suspend or terminate access to the Website at any time, with or without notice.

15. FORCE MAJEURE

The Company shall not be liable for any failure or delay resulting from events beyond its reasonable control, including system failures, cyber incidents, regulatory changes, or third-party disruptions.

16. MODIFICATIONS

The Company reserves the right to modify these Terms at any time. Continued use of the Website constitutes acceptance of such modifications.

17. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws of the State of Florida, United States. Any disputes shall be subject to the exclusive jurisdiction of the courts located within the State of Florida.

18. SURVIVAL

Provisions relating to limitation of liability, indemnification, intellectual property, confidentiality, and HIPAA restrictions shall survive termination of these Terms.

19. ASSIGNMENT

The Company may assign or transfer these Terms without restriction. Users may not assign their rights without prior written consent.
